Terms of Service

  1. Introduction

These Terms of Service (Terms) specify the legally binding conditions and terms governing your access to and use of the Services. These conditions also regulate other media, formats, channels, websites, or mobile applications and related matters on which tools and materials are provided. The Service is operated and distributed by ECATALOG TEKNOLOJİ ANONİM ŞİRKETİ (hereinafter referred to as eteklifim, we, us, our and similar words). eteklifim is a website that offers companies the ability to easily prepare catalogs, share these catalogs, receive orders through shared catalogs, and approve or reject orders. Users benefiting from the service will be able to easily place orders through catalogs sent to them. That is, eteklifim provides an online service that enables Companies (which may be referred to as Company, you, or your depending on the context) to facilitate receiving orders by preparing catalogs through these catalogs. Under these Terms, eteklifim and you may be referred to individually as a Party and collectively as Parties.

  1. Agreement and Acceptance

These Terms are an agreement entered into between you and eteklifim, and accepted as such by the parties, to regulate your access to and use of the Service, especially together with the Privacy Policy and other documents explicitly included by reference. By using the Service, you acknowledge that you are bound by the provisions set forth in these Terms, that you have read, understood, and accepted them. If you do not accept these Terms (or any part thereof), you must immediately terminate access to and/or use of the Service. This contract includes service terms, and according to this contract; the DURATION of the subscription to be taken by the Company, the FEE of the subscription to be taken by the Company, and how this fee will be paid shall be determined in writing by the parties. Unless otherwise specifically agreed in writing by the parties, the subscription fee shall become due on the date this agreement is approved, and the subscription shall be started by the end of the next business day at the latest. eteklifim undertakes to make maximum efforts to fully protect your privacy and security and that of other users. You can learn detailed information by reading the Privacy Policy to learn more about how your personal information will be managed.

  1. Scope and Use of the Service

eteklifim helps companies with catalog arrangements. eteklifim enables Companies to benefit from the features listed in these service terms. With the service provided to you, you can create catalogs and receive orders. Access to Services To access the Services, you must enter into a subscription agreement with us in accordance with these terms. After your subscription is created, you can benefit from the services by logging in with your account. Eligibility It is not possible for persons under the age of 18 to be Users. If you are not at least 18 years old, you should not use the services in any way. By using our Services, you acknowledge and declare that you are at least 18 years old and authorized to accept these Terms and comply with the provisions of these Terms. If you are under 18 but it is understood that you have stated yourself as 18 or older, your account may be deleted without notice.

  1. Communication and Notifications

You can review our privacy policy regarding under what conditions notifications will be made to you and how your personal data will be managed.

  1. Service Content and License Terms

The visual interfaces, graphics, design, photographs, videos, sound, information, data, computer code, materials, and content of the Service, the entirety of the Service, including related software, websites, APIs, products, and services including our devices (collectively Service Content) are protected by copyright, trademark, trade dress, patent, or other intellectual property rights. All Service Content is owned, controlled, or licensed by eteklifim or its affiliated companies and subsidiaries. Any use of Service Content without the explicit written permission of eteklifim is strictly prohibited. eteklifim reserves all rights regarding Service Content not expressly granted in these Terms. Any material downloaded or otherwise obtained during Service use is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system, mobile phone, or other device or data loss resulting from the download of such material.

Right to Use Service Content

You are granted only a right to use for the Services provided to you. The Service is not sold to you. eteklifim (and licensors where applicable) exclusively owns all rights. eteklifim reserves all rights, including but not limited to worldwide intellectual property rights related to the Service, and the right to use them in accordance with the Service and these Terms (including other applicable laws, rules, or regulations). You have no intellectual property rights regarding the Service other than these Terms. You are granted a limited, revocable, non-transferable, and non-sublicensable right to use, and you must not engage in any type of distribution within this scope. This right to use is granted only for access to and use of the Service and content provided under these Terms and is not intended for distribution purposes. This right to use does not include the sale of (i) the Service or its contents, (ii) any personal information, (iii) any other content, material, Virtual Item, information, text, data, copyright, trademark, logo, design, emblem, image, photograph, music, screenshot, video, chat, post, mark, page, software, and other original works and/or intellectual property, and these contents are maintained by eteklifim. The Company may withdraw the right to use at any time for any reason or for no reason and cannot be held liable to any User for claims of interference with business relationships or contracts. Unless expressly stated herein, nothing in these Terms shall be construed as granting any right to use any intellectual property right by acquired right, implication, or any other means. The User acknowledges and declares that when using the Services and Service Content, they will act in accordance with these Terms; will not violate the rights of other parties; will not violate any contractual or legal obligation that parties may encounter; will not violate any law. To request permission to use Service Content, you can contact eteklifim.

Company Responsibilities

If a User or Company provides incorrect or incomplete information to eteklifim, eteklifim has no responsibility to the company for information provided by the user, or to the user for information provided by the company. The User and company accept full responsibility to eteklifim in this regard and acknowledge and declare that they will not make any damage claims and will not hold eteklifim responsible for damage in this regard. Any personal information provided here will be subject to the terms of our Privacy Policy. The Company accepts responsibility for all activities when preparing catalogs and receiving orders through catalogs. It is also their own obligation to always protect the security and privacy of login information. The User accepts responsibility for all activities when placing orders through catalogs. It is also the user's obligation to always protect the security and privacy of login information. You should be careful when accessing your account through a public or shared tablet, mobile device, etc., so that others cannot see or record your email, password, or other information. We have the right to disable any password or other identifier selected by you or provided by us at any time if you violate any provision of these Terms. ECATALOG FACILITATES THE PREPARATION OF THE CATALOG BY THE COMPANY AND HELPS THE USER'S ORDER TO BE CONVEYED TO THE COMPANY. THE COMPANY'S APPROVAL OR REJECTION OF THE RELEVANT ORDER IS ITS OWN RESPONSIBILITY. ECATALOG IS NOT INVOLVED IN WHETHER THE COMPANY CAN SUPPLY THE PRODUCT, WHETHER THE PRODUCT MEETS THE SPECIFIED CONDITIONS, ITS SHIPPING, OR ANY PROCESS NOT SPECIFICALLY STATED HERE. THE COMPANY IS RESPONSIBLE FOR REGULATING ITS RELATIONSHIPS WITH USERS AND ACTING ACCORDINGLY. ECATALOG'S SCOPE OF RESPONSIBILITY IS CLEARLY DEFINED ABOVE. IN ADDITION, USERS AND COMPANIES MUST BE AWARE OF THE FOLLOWING MATTERS;

ECATALOG IS NOT RESPONSIBLE FOR THE ACCURACY OF THE INFORMATION IN THE CONTENT OF THE CATALOG PROVIDED BY THE COMPANY AND THERE IS NO VERIFICATION MECHANISM FOR THIS. THE RELATIONSHIP BETWEEN THE USER AND THE COMPANY SHALL BE DETERMINED BY THEMSELVES AND PERFORMANCE OBLIGATIONS MAY ARISE - IF ANY.

ECATALOG DOES NOT PROMISE WHETHER A CONTRACTUAL RELATIONSHIP ARISES BETWEEN THE USER AND THE COMPANY DUE TO TRANSACTIONS CARRIED OUT THROUGH ECATALOG. WHETHER THE COMPANY'S CATALOG PRESENTATION HAS THE NATURE OF AN OFFER OR INVITATION TO OFFER MUST BE EVALUATED ACCORDING TO THE CONCRETE CASE, AND ECATALOG HAS NO INVOLVEMENT IN THIS PROCESS. LIKEWISE, WHETHER THE USER'S ORDER THROUGH THE RELEVANT CATALOG IS IN THE NATURE OF ACCEPTANCE OR OFFER MUST ALSO BE EVALUATED ACCORDING TO THE CONCRETE CASE, AND ECATALOG HAS NO INVOLVEMENT IN THIS PROCESS EITHER.

THE PERFORMANCE OBLIGATIONS THAT MAY ARISE DUE TO CONTRACTS THAT MAY ARISE BETWEEN THE PARTIES DUE TO THE SENT CATALOGS AND GIVEN ORDERS - WHETHER PAYMENT, PRODUCT DELIVERY, AND OTHER OBLIGATIONS - SHALL ARISE ONLY AND ONLY BETWEEN THE PARTIES, AND ECATALOG HAS NO INVOLVEMENT IN THESE PROCESSES.

PAYMENT IS NOT MADE THROUGH THE ECATALOG SYSTEM, PRODUCT DELIVERY IS NOT TRACKED, AND THE SUITABILITY OF PERFORMANCE OF OBLIGATIONS IS NOT DETERMINED. INVOICE TRACKING IS NOT PERFORMED BASED ON THE USER-COMPANY RELATIONSHIP. IF A CONTRACTUAL RELATIONSHIP HAS ARISEN BETWEEN THE COMPANY AND THE USER, THEY ARE RESPONSIBLE FOR THE PERFORMANCE OF ALL OBLIGATIONS THAT MAY ARISE, STATED OR UNSTATED, DUE TO THIS RELATIONSHIP. THE PARTIES ACKNOWLEDGE THAT ECATALOG HAS NO RESPONSIBILITY REGARDING THEIR OWN OR THE OTHER PARTY'S OBLIGATIONS. You acknowledge that eteklifim does not actively monitor or audit Service Content and transactions (and has no such obligation) and exempt eteklifim from all liability arising therefrom. YOU ARE SOLELY RESPONSIBLE FOR ANY LAW VIOLATION AND VIOLATION OF THIRD PARTY RIGHTS RESULTING FROM YOUR USE OF THE SERVICES. THE BURDEN OF PROVING THAT USER CONTENT, INFORMATION, OR OTHER MATERIALS DO NOT VIOLATE ANY LAW OR THIRD PARTY RIGHTS IS ENTIRELY YOURS. ECATALOG DISCLAIMS ALL EXPRESS AND IMPLIED OBLIGATIONS REGARDING THE OBLIGATION TO MONITOR SERVICE CONTENT AND ACCEPTS NO RESPONSIBILITY OR OBLIGATION FOR THE INFORMATION PROVIDED HERE. UNDER NO CIRCUMSTANCES SHALL IT BE LIABLE FOR USER CONTENT, ERRORS OR DEFICIENCIES RELATED TO THIS CONTENT, OR ANY LOSS OR DAMAGE RESULTING FROM THE USE OF ANY USER CONTENT SENT OR TRANSMITTED THROUGH THE SERVICE. YOU ACKNOWLEDGE AND DECLARE THAT YOU MAY BE LEGALLY HELD LIABLE FOR DAMAGES SUFFERED BY OTHER USERS OR THIRD PARTIES IF THE CRITICISMS, INFORMATION, FEEDBACK, OR OTHER CONTENT YOU PUBLISH OR MAKE AVAILABLE ON THE SERVICES ARE DEFAMATORY, INFRINGE INTELLECTUAL PROPERTY RIGHTS, OR ARE SUBJECT TO LEGAL ACTION. THE COMPANY IS NOT LEGALLY RESPONSIBLE FOR AND CANNOT BE HELD LIABLE FOR ANY DAMAGE RELATED TO ANY DEFAMATION OR LEGALLY ACTIONABLE CRITICISM, INFORMATION, FEEDBACK, OR OTHER USER CONTENT PUBLISHED OR MADE AVAILABLE ON THE SERVICE.

  1. Usage Data

Usage Data includes, but is not limited to, query logs and data related to the operation, support, and/or use of these services by Users for any function of the Service ("Usage Data"). Unless otherwise provided in these Terms, eteklifim may collect and use Usage Data to develop, improve, support, and operate its services. eteklifim may share data collected in a way that Users cannot be identified and anonymized, as well as other data collected in this regard, with the company if there is explicit consent. If you do not consent to this, you can send an email to support@eteklifim.com.tr regarding this and stop using the service.

  1. Service Access and Service Availability

Except for the exceptions specified in this contract, Companies will have unlimited access to the Services provided that they fulfill their obligations under these Terms. eteklifim reserves the right to withdraw or modify the functions, material, or content of the Service unilaterally and without any notice. eteklifim will make commercially acceptable efforts to guarantee the accessibility of the Services during the maintenance or introduction of new services, but will not be responsible for (i) planned interruptions, or (ii) any unavailability situation arising directly or indirectly beyond its control, Force Majeure, or any violation of these Terms by any User. REGARDING THESE INTERRUPTIONS MADE EVEN FOR THE CONTINUATION OF THE SERVICES, ECATALOG WILL COUNT THE DAY AS NO SERVICE PROVIDED IF THE LENGTH OF THE INTERRUPTION WITHIN ONE DAY EXCEEDS 12 HOURS AND WILL EXTEND THE COMPANY'S SUBSCRIPTION BY THE NUMBER OF DAYS DETERMINED IN THIS WAY. NO COMPENSATION EXTENSION WILL BE MADE FOR INTERRUPTIONS LASTING LESS THAN 12 HOURS. IF THE INTERRUPTION LASTS MORE THAN 15 DAYS, THE FEE FOR THE DAYS OF INTERRUPTION WILL BE REFUNDED TO THE COMPANY. THE FEE FOR THE DAYS OF INTERRUPTION WILL BE CALCULATED USING THE FORMULA "TOTAL SERVICE FEE"*("INTERRUPTION DURATION (DAYS)"/"TOTAL SERVICE DURATION(DAYS)") AND REFUNDED TO THE COMPANY.

IF ECATALOG PERMANENTLY STOPS PROVIDING SERVICE FOR ANY REASON, ECATALOG WILL MAKE COMPENSATION PAYMENT FOR THE PERIODS THE COMPANY CANNOT USE DUE TO THE CONTRACT MADE WITH ECATALOG. THIS COMPENSATION IS CALCULATED AS FOLLOWS; "TOTAL SERVICE FEE (CALCULATED ON USD RATE)"* ("UNUSED PERIOD (DAYS)"/"TOTAL SERVICE DURATION(DAYS)"). eteklifim may always remove, disable, and/or suspend your use of the Services in good faith and reasonably if it believes that any Service Content violates any of these Terms. However, if such disabling is necessary to comply with legal process, regulation, order, or to prevent imminent harm to the Services or a third party, you will be notified of such suspension or disabling as soon as possible after the necessary measures are taken.

  1. Service Usage Limitations (Reasonable Use Policy)

You are solely responsible for all your interactions with eteklifim or the Service. Our goal is to create a positive, useful, and safe user experience. To promote this goal, we prohibit certain behaviors that may be harmful and illegal. When using the Services, you cannot do the following: Violate the legal rights of eteklifim or another person (e.g., privacy and publicity rights); Act contrary to national, international, federal, or local regulations; Share defamatory, profane, rights-violating, obscene, illegal, offensive, and/or harmful information; Use the Services for purposes other than their intended purpose and/or for illegal purposes locally, nationally, federally, or internationally; Prevent another User from using any service; Attempt unauthorized access to the Service; Spam, commit fraud, or use bots on the Service for false, obscene, or immoral purposes; Block or bypass security measures of the Services; Reverse engineer, hack, or otherwise interfere with the Service to disrupt the integrity or performance of the Services; Restrict or prevent another User's access to and use of the Services; Use any program to data mine, data scan, scrape, or index the Service in any way; Hack or interfere with the application, its servers, or connected networks; Adapt, modify, license, sublicense, or translate the Service or Service Content for your personal or commercial use; Remove or modify copyright, trademark, or other property rights and rights owned, controlled, or licensed by eteklifim visually or otherwise; Use the Service in a misleading manner or to disclose eteklifim's trade secrets publicly or obtain them for other purposes; Use, transfer, distribute, or dispose of the Service or Service Content in a way that could compete with eteklifim's business; Encourage, promote, or assist a third party to engage in the restricted activities listed above.

Using the Service or Service Content in violation of the principles listed above is strictly prohibited and automatically terminates these Terms, the License, and your access to the Service. Such unauthorized use may also violate applicable laws, including copyright and trademark laws, and eteklifim will initiate appropriate investigation and legal proceedings for such illegal or unauthorized use.

When a User is subject to a legal claim or threat regarding the use of user services, they must immediately inform eteklifim. Upon request, such a claim must be confirmed in writing by the user, and access to or use of the Application and/or Services must be stopped. In this case, we reserve the right to forward the information to the appropriate regulatory authorities and, if requested, to the courts. In this case, information disclosure as described in the Privacy Policy will not be considered a violation of eteklifim's privacy and data protection obligations.

  1. Data Protection and Privacy

eteklifim may access your data to respond to your requests and provide you with the Services. The Privacy Policy describes our information practices, the types of information we obtain from you and collect, and how we use and share this information. The User acknowledges that the laws, regulations, and standards of the country where their information is stored or processed may differ from those of their own country. eteklifim undertakes compliance with relevant legislation, rules, regulations, directives, and guidelines (collectively Rules) regarding information and data collected, used, and disclosed in relation to Users' access to or use of the Services. The Rules include, without limitation, Law No. 6698 on the Protection of Personal Data or the Rules of another jurisdiction, or rules, laws, or other legislation issued by relevant data protection authorities, and their amendments and modifications, or laws that may be repealed or replaced.

Our Services are not designed to hold any Sensitive Information. By using our Services, you declare and undertake that you will not use our Services to transmit, upload, collect, manage, or otherwise process any Sensitive Information.

WE WILL NOT BE RESPONSIBLE FOR DAMAGES ARISING FROM YOUR USE OF OUR SERVICES TO TRANSMIT, COLLECT, MANAGE, OR PROCESS ANY SENSITIVE INFORMATION.

Feedback

If you provide any feedback or suggestions (Feedback) to eteklifim through any medium, any Feedback will be accepted as open and non-exclusive. Such Feedback may be used on an unlimited basis without paying any compensation to you or any third party.

  1. Mutual Representations and Warranties

Each party represents and warrants to the other party that: (i) such party has the necessary capacity and authority to be bound by these Terms; (ii) compliance with these Terms and fulfillment of the obligations set forth herein does not, to the knowledge of each of the parties, violate any other agreement; (iii) there is no other restriction, limitation, or contractual or legal obligation preventing a party from fulfilling its obligations herein; and (iv) these Terms constitute a legal, valid, and binding obligation when accepted by both parties.

Our Representations and Warranties

As stated herein, we represent and warrant that (i) we have all rights, licenses, information, expertise, and experience necessary to provide the Services herein; (ii) we are the sole owner of the Services and Company-owned intellectual property (to the extent permitted in these Terms) and have the right, license, and authority to provide the Services to you as stated herein; (iii) the Services will comply with all applicable laws and regulations when used by you in accordance with these Terms; (iv) to our knowledge, the Services do not contain malicious code or viruses; and (v) we have and will apply our own company policies at industry standard.

Your Representations and Warranties

You represent and warrant that (i) all information you send or share through the Services (if any) is accurate, precise, current, and complete; (ii) you solely own all rights, titles, and interests in all information you send, including User Content shared in the Services, or you have obtained all necessary rights and licenses from the relevant owner who has the right and license to provide this information; and (iii) when used for the purposes specified in these terms, it does not violate the rights of third parties, including intellectual property rights, property rights, and advertising/privacy rights. You will use the Services only for the permitted purposes determined by these Terms and will not interfere with the integrity or performance of the Services as specified in the Usage Limitations section of the Application.

BY ACCESSING AND USING THE SERVICES, YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST EIGHTEEN (18) YEARS OLD (OR AT A HIGHER AGE REQUIRED TO REACH THE AGE OF MAJORITY UNDER THE LAWS APPLICABLE TO THE LOCATION OF YOUR PRIMARY RESIDENCE).

Warranty Disclaimer

Except as expressly stated herein, eteklifim does not guarantee or make any representation that results obtained from service content will be completely accurate, completely reliable, complete, or correct, or that a Service, information, or other material acquired or obtained by the User through the Service will meet the User's expectations or be suitable for a specific purpose, or that any errors in the Service will be corrected. The Services (or any part thereof) are provided on an "AS IS" and "AS AVAILABLE" basis without any warranty or condition of any kind, including all types of content, data, and all types of information related thereto. eteklifim makes no promises regarding benefits or results obtained from the Services by the User or any third party. The Services may become incompatible with Users' browsers, mobile devices, and/or operating systems or may not work properly. eteklifim cannot be held liable for actual or perceived damages arising from the content, operation, use, or unavailability of the Services.

THE USE OF THE SERVICES IS ENTIRELY AT YOUR OWN INITIATIVE. THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. ECATALOG EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, ESPECIALLY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY. ECATALOG MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. THE USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES IS ENTIRELY AT YOUR OWN DISCRETION, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBIL E PHONE, WIRELESS DEVICE, OR DATA RESULTING FROM THE USE OF THE SERVICES OR THE DOWNLOAD OF ANY MATERIAL. NO ADVICE OR INFORMATION OBTAINED ORALLY OR IN WRITING FROM ECATALOG, ITS EMPLOYEES, OR REPRESENTATIVES SHALL CREATE ANY WARRANTY UNLESS EXPRESSLY STATED IN THE AGREEMENT.

ALTHOUGH ECATALOG WORKS TO PROVIDE ACCURATE INFORMATION, IT MAKES NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF INFORMATION ON THE SERVICE.

Prohibition of Disclaiming Implied Warranties

Some jurisdictions may not allow disclaiming certain warranties. The above disclaimers may not apply to Users falling under the jurisdiction of such a jurisdiction. These Terms grant the User certain legal rights, and the User may have other rights that vary by jurisdiction. The disclaimers and exclusions under these Terms do not apply to the extent prohibited by applicable laws.

  1. Limitation of Liability

If eteklifim's fulfillment of its obligations under these Terms is prevented or delayed due to the action or omission of the User or any third party, eteklifim shall not be deemed to have violated its obligations under these Terms. Under no circumstances shall eteklifim, its developers, affiliated companies, or licensors, service providers, employees, agents, officers, or managers be held liable for any damages, including direct or indirect, special, extraordinary, consequential, or punitive damages, arising from the User's use or inability to use the Application, any Service, or any application connected therewith. This includes damages arising from tort (compensation), breach of contract, or other causes, including personal injury, pain and suffering, emotional distress, loss of profit, loss of business, or loss of expected savings, loss of use, loss of goodwill, data loss, and even negligence, even if foreseeable.

TO THE EXTENT PERMITTED BY LAW, ECATALOG CANNOT BE HELD LIABLE FOR ANY USER'S STATEMENT, AGGRESSIVE, OR ILLEGAL BEHAVIOR. IF YOU ARE NOT SATISFIED WITH THE SERVICE, ANY MATERIAL ON THE SERVICE, OR THESE TERMS, THE ONLY SOLUTION IS TO STOP USING THE SERVICES. ECATALOG CANNOT BE HELD LIABLE UNDER ANY CIRCUMSTANCES FOR ANY THIRD PARTY SERVICES, FAILURE OF THIRD PARTY SERVICES, THIRD PARTY ACTIVITIES, OR ANY CONNECTION OR TRANSMISSION FROM THE INTERNET. ECATALOG IS NOT RESPONSIBLE FOR AND CANNOT BE HELD LIABLE FOR CONTENT THAT CAN BE USED THROUGH THE SERVICES. THIS INCLUDES USER CONTENT AND ANY CONTENT OR SERVICE PROVIDED BY THIRD PARTIES. ECATALOG HAS NO RESPONSIBILITY TO CONTROL OR AUDIT CONTENT AND IS NOT RESPONSIBLE FOR ANYTHING PUBLISHED, TRANSMITTED, OR SHARED THROUGH THE SERVICES. eteklifim cannot be held liable for damages arising from or resulting from fictional and unrealistic information. Users are aware that the Service will be within the limits specified above; therefore, Users acknowledge, declare, and undertake not to hold eteklifim liable for any damage arising from information provided on the Service.

ECATALOG CANNOT BE HELD LIABLE FOR ANY USER'S STATEMENT, AGGRESSIVE, OR ILLEGAL BEHAVIOR. IF YOU ARE NOT SATISFIED WITH THE SERVICE, ANY MATERIAL ON THE SERVICE, OR THESE TERMS, THE ONLY SOLUTION IS TO STOP USING THE SERVICE AND DELETE YOUR ACCOUNT ON THE APPLICATION. eteklifim is not responsible for disputes or conflicts that occur between any third party with whom you interact by using the Service. The user assumes all risks in agreements made with third parties. The user agrees to resolve these disputes directly with the other party. The user acknowledges and declares that they will have no claim against eteklifim regarding disputes occurring among users of the service. The user agrees not to involve eteklifim in such disputes. The user is obliged to act carefully and prudently when using the service.

This Limitation of Liability section will apply to the fullest extent permitted by applicable law in the applicable jurisdiction, regardless of whether the alleged liability is based on contract, tort, negligence, liability, or otherwise. eteklifim being informed of the possibility of such damage does not extend liability.

Prohibition of Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; therefore, the above limitations or exclusions may not apply to the User falling under the jurisdiction of such jurisdictions. These Terms give the User certain legal rights, and the User may have other rights that vary from jurisdiction to jurisdiction. The disclaimers, exclusions, and limitations of liability under the Terms are not valid to the extent prohibited by applicable law.

  1. Indemnification

Our Indemnification Obligations

eteklifim has no indemnification obligation regarding any Claim related to (i) User Content, (ii) violation of applicable laws, (iii) alleged or actual violation of any third party right, especially data protection and privacy rights, (iv) violation of these Terms; (v) your negligence, intentional misconduct, or fraud; (vi) your failure to use any improvement, modification, or update made to the Service provided by eteklifim; (vii) changes made to the Service by someone other than eteklifim; or (viii) combination of the Service with software, data, or materials not provided by eteklifim or any Claim arising therefrom.

Your Indemnification Obligations

The User agrees to indemnify and hold harmless to the fullest extent eteklifim and its affiliates, joint brand owners, partners, shareholders, employees, agents, representatives, and/or independent contractors (eteklifim Affiliates) from all costs, damages, claims, Claims, and losses, including legal expenses arising from third party claims.

Some jurisdictions may not allow the exclusion of certain warranties or the limitation or exclusion of liability for damages. Therefore, some of the above indemnifications, limitations, and disclaimers may not apply to you. To the extent that we cannot disclaim any warranty or limit our liability under applicable law, the scope and duration of such warranty and the scope of our liability will be the minimum permitted by such law.

  1. Illegal Activity and Termination of Service Access

eteklifim reserves the right to examine whether these Terms are violated or to investigate complaints regarding reported violations. In this context, it may take any action it deems appropriate, including reporting this information to authorities, auditors, or other third parties when illegal activity is suspected. This may also include disclosure of information such as users' email addresses, usage history, IP addresses, transactions, and traffic information to these persons or organizations as described in our Privacy Policy. eteklifim may terminate or suspend your use of or access to the Service under these Terms at any time, unilaterally and without any prior communication or obligation with you, if it believes that you are acting contrary to these Terms or any applicable law or engaging in unacceptable behavior. eteklifim may terminate or suspend your account without prior notice and for reasons including (i) simultaneous access to the Service with the same login credentials, (ii) allowing another person or organization to use your login credentials to access the Services, (iii) access to or use of the Services in any other way not expressly stated in these Terms, (iv) any violation of the terms and conditions or usage rules of software and/or data files accessed through the Service, (v) interference with or modification of software and/or data files accessed through the Service. If your right to use the services is terminated under these terms or your access to any part of the Services is restricted, eteklifim may, at its sole discretion, delete certain data related to your use of the Services or disable your access to it. This may include, but is not limited to, catalogs shared with you, orders you placed, and company approval or rejection information. You acknowledge, declare, and undertake that eteklifim has the right to terminate or suspend access to the Service at its discretion if you violate any provision of these Terms. In this case, you agree to hold eteklifim harmless from all liabilities arising from such termination or suspension and not to make any claim for compensation, damage, or refund in this context.

Termination by Company

EARLY TERMINATION OF A SUBSCRIPTION MADE FOR A CERTAIN PERIOD BY THE COMPANY DUE TO THE CONTRACT IS NOT POSSIBLE. IN THIS CASE, THE COMPANY CANNOT RECEIVE ANY PAYMENT REFUND. SUBSCRIPTIONS MADE SHALL END ONLY WITH THE EXPIRATION OF THE RELEVANT PERIOD. However, sections of these Terms that must remain in effect by their nature before or after termination or termination shall continue to remain in full effect as specified in the section Following Termination.

  1. Following Termination

If these Terms are terminated or terminated for any reason, all rights of the User and the Services will immediately end. The sections titled Disclaimer and Warranties, Limitation of Liability, Indemnification, Illegal Activity and Termination of Service Access, Following Termination, Applicable Law, Severability, and Miscellaneous Provisions will remain in effect despite the termination or termination of these Terms.

  1. Severability

If any part of these Terms is found to be illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability is limited only to that provision. The illegality, invalidity, or unenforceability of such a provision does not make other parts of these Terms illegal, invalid, or unenforceable, and in general, these Terms are modified, interpreted, and applied in a way that reflects the intention of the Parties with the closest legal effect. The fact that any provision of these Terms is illegal, invalid, or unenforceable in any jurisdiction will not have any effect on the legality, validity, or enforceability of this provision in other jurisdictions.

  1. Miscellaneous Provisions

Waiver

eteklifim's failure to assert any right or provision under these Terms does not mean that it has waived such or any other right or provision. Waiver is not considered a further or continuing waiver to assert this term or another term.

Assignment

The rights or obligations recognized under these Terms or these Terms cannot be transferred or assumed by Users without the prior written consent of eteklifim. Without such consent, any attempt to assign any right or responsibility arising from these Terms will be invalid from the beginning. eteklifim reserves the right to transfer, assign, liquidate by novation, or give as a subcontractor all rights or obligations under these Terms, taking into account the legitimate interests of Users. The provisions regarding changes made to these Terms will be applied accordingly.

Integrity of the Agreement

These Terms constitute the agreement between the Parties and supersede provisions regarding prior written or oral agreements and/or communications on this subject.

Force Majeure

The parties will not be responsible for any error or delay in fulfilling their mutual obligations arising from these Terms if a Force Majeure Situation prevents them from doing so.

Independent Legal Advice

The User acknowledges that they have had the opportunity to read these Terms, agree with their provisions, and have had the opportunity to obtain independent legal advice about the Terms before accepting them.

Applicable Law

Turkish Law shall apply to these Terms, and they shall be interpreted and applied in accordance with these laws, without affecting any conflicting legal rules.

Any legal action, proceeding, or transaction arising from or related to these Terms, the competent jurisdiction is Istanbul Courts.
